Vendor Participation Terms

These Vendor Participation Terms ("Terms") govern participation as a vendor on Picked by Ordis (store.ordisautomata.com), operated by Ordis Automata LLC, 1707 Lakewood Loop, Brandon, FL 33510, USA ("Ordis", "we"). By applying to sell or by listing products on the platform, you ("Vendor") agree to these Terms.

1. Ordis is a facilitator, not a guarantor

Picked by Ordis is a curated marketplace. Ordis reviews vendors and products against published vetting criteria and facilitates the buyer relationship. Ordis is not the seller of record, does not take possession of inventory, and does not guarantee sales volume, product performance, or fitness for purpose. The contract of sale is between the Vendor and the buyer.

2. Eligibility — vetting criteria

Every Vendor must meet and maintain all three criteria, no exceptions: (a) inventory stored in a United States warehouse, with domestic shipping only — no direct international fulfillment to buyers; (b) FCC compliance for electronic or wireless devices, where applicable — non-electronic products are assessed case by case; and (c) a published, enforced return policy with a minimum 30-day window from delivery. Loss of any criterion suspends the Vendor's listings until restored.

3. The "Vetted by Ordis" seal

The seal is earned through verification of the criteria above. It is never sold, and it is independent of any advertising or affiliate relationship. Ordis may re-verify at any time and may remove the seal if criteria are no longer met.

4. Application and onboarding

Vendors apply through the Sell page or by email. Ordis reviews eligibility within 3–5 business days. Approved Vendors authorize Ordis via Stripe Connect (OAuth); the Vendor retains full control and ownership of their Stripe account.

5. Fees

Ordis charges an application fee of 15% per sale, deducted at the time of the transaction. Stripe processing fees (approximately 2.9% + $0.30 per direct charge) are charged by Stripe under the Vendor's Stripe agreement. There are no monthly fees, no listing fees, and no minimum sales volume. Fee changes will be notified at least 30 days in advance and apply only to sales after the effective date.

6. Payments — direct charges

Sales are processed as Stripe direct charges to the Vendor's Stripe account. The Vendor is the merchant of record for payment purposes and is responsible for applicable taxes on its sales.

7. Vendor responsibilities

The Vendor is responsible for: accurate product information and lawful marketing claims; inventory availability; shipping within the stated handling time; honoring the published return policy; customer support for its products; product safety and regulatory compliance; and honoring manufacturer warranties where the Vendor is the warrantor.

8. Escalations and mediation

If a buyer escalates an issue to Ordis, Ordis will contact the Vendor within 24 business hours, and the Vendor must respond within 48 hours. Ordis will mediate in good faith toward a resolution before any Stripe dispute. Vendors who do not resolve escalated issues are suspended from the catalog until the case closes. Repeated or fraudulent issues result in permanent removal.

9. Content and licenses

The Vendor grants Ordis a non-exclusive license to display the Vendor's product names, images, and descriptions on the platform and in platform marketing. The Vendor warrants it holds the rights to all materials it provides.

10. Termination

Either party may end participation with written notice. Pending orders must be fulfilled and open escalations resolved. Sections 1, 6, 7, 8 and 9 survive for transactions completed before termination.

11. Changes to these Terms

Ordis may update these Terms with notice to active Vendors. Continued participation after the effective date constitutes acceptance.
